These Terms of Service ("Terms") are a binding agreement between you and ApisTrack LLC ("ApisTrack," "we," "us," or "our") and govern your access to and use of the ApisTrack mobile applications and web admin console (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1. License to use the Service
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes of managing beekeeping operations. We reserve all rights not expressly granted to you.
2. Account responsibilities
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate information, to keep it up to date, and to notify us promptly of any unauthorized use of your account. Account roles (admin, lead, field, office) determine the actions a user may take within an organization.
3. Acceptable use
You agree not to:
- Use the Service in violation of any applicable law or regulation.
- Access data belonging to another organization, or attempt to circumvent the Service's security or access controls.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
- Interfere with or disrupt the integrity or performance of the Service, or introduce malicious code.
- Upload content that is unlawful, infringing, or that you do not have the right to provide.
- Use the Service to build a competing product or resell it without our written permission.
4. Your data
As between you and us, your organization owns the data it submits to the Service ("Customer Data"). You grant us the limited rights necessary to host, process, and transmit Customer Data to provide and maintain the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for the accuracy and legality of the Customer Data you provide, including landowner contact details and any location information.
5. Intellectual property
The Service, including its software, design, text, graphics, and the ApisTrack name and logo, is owned by ApisTrack LLC and its licensors and is protected by intellectual property laws. These Terms do not transfer any ownership in the Service to you.
6. Third-party services
The Service relies on third-party providers (including Supabase, Google Maps Platform, Expo/EAS, and Vercel) and may interoperate with platform services such as the Apple App Store and Google Play. Your use of those services may be subject to their own terms, and we are not responsible for third-party services.
7. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, error-free, or completely secure, or that data will always sync or be preserved without loss. You are responsible for maintaining your own records where appropriate.
8. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ApisTrack AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM OR USD 1. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
9. Indemnification
You agree to indemnify and hold harmless ApisTrack from claims arising out of your Customer Data, your use of the Service in violation of these Terms, or your violation of any law or third-party right.
10. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if necessary to protect the Service or other users. Upon termination, your license to use the Service ends. You may request deletion of your data as described on our Account & Data Deletion page. Provisions that by their nature should survive termination (such as intellectual property, disclaimers, and limitation of liability) will survive.
11. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will update the effective date and provide reasonable notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of Colorado, USA, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Colorado, USA for any dispute not subject to arbitration or small-claims resolution.
